TechSignific-AI/TechForce-AI Plugin License Agreement

1. Grant of License

TechSignific (“Licensor”) grants you (“Licensee”) a non-exclusive, non-transferable, and limited license to use the TechSignific AI plugin (“Software”) solely for personal or internal business purposes, subject to the terms and conditions of this Agreement.

2. Restrictions

Licensee shall not Distribute, sell, sublicense, lease, or otherwise make the Software available to any third party.
Modify, reverse engineer, decompile, or disassemble the Software. Use the Software to develop any derivative works without prior written consent from Licensor.

3. Ownership

Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant Licensee any ownership rights in the Software.

4. Confidentiality

Licensee agrees to maintain the confidentiality of the Software and not to disclose it to any third party without the prior written consent of Licensor.

5. Termination

This Agreement shall terminate immediately if Licensee breaches any term of this Agreement. Upon termination, Licensee must immediately cease all use of the Software and destroy all copies of the Software in Licensee’s possession or control.

6. Disclaimer of Warranties

The Software is provided “as-is” without any warranties of any kind, either express or implied. Licensor disclaims all warranties, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

7. Limitation of Liability

In no event shall Licensor be liable for any damages arising out of or in connection with the use or performance of the Software, including but not limited to, direct, indirect, incidental, punitive, and consequential damages.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral, regarding the subject matter herein.
